Preamble
OUR SERVICES ARE NOT OFFERED TO PERSONS OR ENTITIES WHO RESIDE IN, ARE CITIZENS OF, ARE LOCATED IN, ARE INCORPORATED IN, OR HAVE A REGISTERED OFFICE IN THE UNITED STATES OR ANY RESTRICTED TERRITORY (AS DEFINED BELOW) (ANY SUCH PERSON OR ENTITY FROM A RESTRICTED TERRITORY BEING A "RESTRICTED PERSON"). USE OF A VIRTUAL PRIVATE NETWORK ("VPN") TO CIRCUMVENT THESE RESTRICTIONS IS PROHIBITED.
These terms of use, together with any additional agreements, documents and terms incorporated by reference, which includes any other terms and conditions or other agreement that Monadex Labs SASU . ("Monadex", "we", "us" and "our") posts publicly or makes available to you or the person or entity you represent ("you" or "your") (collectively, these "Terms"), are entered into between Monadex and you concerning your use of, and access to, our (a) websites, including monadex.exchange; (b) web applications; mobile applications and (c) all associated sites linked thereto by Monadex or its affiliates (collectively with any materials and services available therein, and successor website(s) or application(s) thereto, the "Site").

1. Definitions
1.1. "Monad Blockchain" refers to the blockchain network on which Monadex operates.
1.2. "Smart Contracts" refer to the open-source, self-executing code deployed on the Monad Blockchain that governs the core functionality of Monadex.
1.3. "Digital Assets" refer to cryptocurrencies, tokens, or other blockchain-based assets that can be traded on Monadex.
1.4. "Wallet" refers to any cryptocurrency wallet compatible with the Monad Blockchain and capable of interacting with Monadex.
2. Service Description
2.1. Monadex is a DEX that facilitates peer-to-peer trading of Digital Assets on the Monad Blockchain. The Service includes, but is not limited to: a) An interface for viewing market data and executing trades b) Liquidity pools for automated market-making c) Yield farming and staking opportunities d) Governance mechanisms for protocol upgrades and parameter adjustments
2.2. The core trading functionality of Monadex is governed by open-source Smart Contracts. However, the user interface, APIs, and additional features provided by Monadex Labs are proprietary and closed-source.
2.3. Monadex does not custody user funds. All Digital Assets remain under the control of Users through their personal Wallets.
3. Eligibility and Registration
3.1. In order to use the Site, you must satisfy the following eligibility requirements: a) You are of legal age in the jurisdiction in which you reside and you have legal capacity to enter into the Terms and be bound by them. b) If you accept the Terms on behalf of a legal entity, you must have the legal authority to accept the Terms on that entity's behalf, in which case "you" (except as used in this paragraph) will mean that entity. c) You are not a resident, national or agent of Antigua and Barbuda, Algeria, Bangladesh, Bolivia, Belarus, Burundi, Myanmar (Burma), Cote D'Ivoire (Ivory Coast), Crimea and Sevastopol, Cuba, Democratic Republic of Congo, Ecuador, Iran, Iraq, Libya, Mali, Morocco, Magnitsky, Liberia, Nepal, North Korea, Somalia, Sudan, Syria, Venezuela, Zimbabwe or any other country to which the United States, the United Kingdom or the European Union embargoes goods or imposes similar sanctions (collectively, "Restricted Territories"). d) You are not a member of any sanctions list or equivalent maintained by the United States government, the United Kingdom government, by the European Union or the United Nations (collectively, "Sanctions Lists Persons"). e) You do not intend to transact with any Restricted Territories or Sanctions List Persons. f) You are not a Restricted Person. g) You are not a resident of, reside in, a citizen of, incorporated in, or have a registered office in Taiwan, or the United States of America, or the United Kingdom.
3.2. To use the Service, you must be at least 18 years old and have the capacity to form a binding contract under applicable law.
3.3. You must not be a resident of or located in any jurisdiction where the use of Monadex would be illegal or otherwise prohibited.
3.4. While basic features may be accessible without registration, certain functionalities require you to connect a compatible Wallet. By connecting your Wallet, you agree to provide accurate and complete information and to update such information promptly if there are any changes.
3.5. You are solely responsible for maintaining the confidentiality and security of your Wallet and any associated private keys. Monadex is not responsible for any unauthorized access to your Wallet or losses resulting from your failure to secure your credentials.
4. User Representations and Warranties
By using the Service, you represent and warrant that:
4.1. You have the legal capacity to enter into these Terms and use the Service in accordance with all applicable laws and regulations.
4.2. Your use of the Service does not violate any laws, regulations, or obligations you may have to third parties.
4.3. You are not subject to economic or trade sanctions administered or enforced by any governmental authority.
4.4. You are not using the Service for any illegal purposes, including but not limited to money laundering, terrorism financing, or fraudulent activities.
4.5. You understand the functionality, usage, storage, transmission mechanisms, and intricacies associated with Digital Assets, blockchain-based systems, and decentralized finance protocols.
5. Risks and Disclaimers
5.1. Cryptocurrency Trading Risks: Trading Digital Assets involves significant risk of loss. You should carefully consider your financial situation and risk tolerance before trading on Monadex. The Digital Asset markets are volatile and subject to rapid price fluctuations.
5.2. Technology Risks: a) Smart Contract Vulnerabilities: Despite security audits, the Smart Contracts governing Monadex may contain bugs, errors, or security vulnerabilities that could result in loss of funds. b) Blockchain Risks: The Monad Blockchain may experience network congestion, forks, or other technical issues that could impact the functionality of Monadex. c) Wallet Compatibility: Ensure your Wallet is fully compatible with Monadex and the Monad Blockchain. Sending Digital Assets to incompatible addresses may result in permanent loss.
5.3. Regulatory Risks: The regulatory status of Digital Assets and decentralized finance protocols is uncertain and subject to change. New regulations may impact the legality or functionality of Monadex.
5.4. No Financial Advice: Information provided through the Service, including market data and trading pairs, does not constitute financial, investment, or legal advice. All trading decisions are made solely by you.
5.5. Availability: We do not guarantee uninterrupted access to the Service. The interface may be subject to limitations, delays, and other problems inherent in the use of internet and electronic communications.
5.6. Third-Party Services: Monadex may integrate with or provide links to third-party services. We are not responsible for the content or functionality of these third-party services.
6. Prohibited Activities
You agree not to engage in any of the following prohibited activities:
6.1. Violate any applicable laws, regulations, or these Terms.
6.2. Impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity.
6.3. Engage in any market manipulation tactics, including but not limited to pump and dump schemes, wash trading, or spoofing.
6.4. Attempt to gain unauthorized access to the Service or its related systems or networks.
6.5. Use any deep-linking, web crawlers, bots, spiders, or other automatic devices to access or use the Service.
6.6. Interfere with or disrupt the integrity or performance of the Service or the data contained therein.
6.7. Attempt to decompile, reverse engineer, or otherwise attempt to derive the source code of the Service.
7. Intellectual Property Rights
7.1. Monadex Interface: The Monadex interface, including all associated software is protected by copyright and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the interface solely for its intended purpose.
7.2. Open-Source Elements: The Smart Contracts governing core Monadex functionality are open-source and subject to their respective licenses. This does not grant you any rights to the Monadex brand, proprietary interface elements, or closed-source components of the Service.
8. Privacy and Data Protection
8.1. Our collection and use of personal information in connection with the Service is governed by our Privacy Policy.
8.2. Due to the transparent nature of blockchain technology, certain transaction data will be publicly visible. You acknowledge and accept that your transaction history and wallet addresses may be viewable by third parties on the blockchain.
9. Fees and Payments
9.1. Trading Fees: Monadex may charge fees for trades executed through the Service. Current fee structures will be clearly displayed on the interface.
9.2. Network Fees: Users are responsible for paying any applicable blockchain network fees (gas fees) required to execute transactions on the Monad Blockchain.
9.3. Fee Changes: We reserve the right to modify our fee structure at any time. Any changes will be posted on the Monadex interface and will take effect immediately.
10. Governance and Protocol Upgrades
10.1. Monadex may implement a governance system allowing holders of specific tokens to participate in decision-making regarding protocol upgrades and parameter adjustments.
10.2. By using the Service, you acknowledge that the protocol may be upgraded or modified through the governance process, which could impact functionality or value propositions of the Service.
10.3. We reserve the right to implement emergency changes to the protocol without prior notice if necessary to address security vulnerabilities or critical issues.
11. Termination and Suspension
11.1. We reserve the right to suspend, terminate, or restrict your access to the Service at any time, without notice and for any reason, including but not limited to violations of these Terms or suspected illegal activity.
11.2. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
12. Limitation of Liability
12.1. To the maximum extent permitted by law, Monadex Labs and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from: a) Your use or inability to use the Service b) Any unauthorized access to or use of our servers or any personal information stored therein c) Any interruption or cessation of transmission to or from the Service d) Any bugs, viruses, or other harmful code that may be transmitted through the Service e) Any errors, inaccuracies, omissions, or losses in or to any data provided to us f) Any losses incurred due to Smart Contract vulnerabilities or blockchain network issues
12.2. In no event shall our total liability to you for all claims arising from or relating to these Terms or your use of the Service exceed the amount of fees paid by you to Monadex Labs during the six (6) months immediately preceding the date of the claim.
13. Indemnification
You agree to indemnify, defend, and hold harmless Monadex Labs and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.
14. Governing Law and Dispute Resolution
14.1. These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law provisions.
14.2. Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration under the rules of [Arbitration Institution] by one or more arbitrators appointed in accordance with said rules. The language of the arbitration shall be English.
14.3. Notwithstanding the foregoing, Monadex Labs may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of our intellectual property rights.
15. Miscellaneous
15.1. Entire Agreement: These Terms constitute the entire agreement between you and Monadex Labs regarding the Service and supersede all prior agreements and understandings.
15.2. Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the Terms shall otherwise remain in full force and effect.
15.3. Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.
15.4. Assignment: You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may freely assign or transfer these Terms without restriction.
15.5. Force Majeure: We shall not be liable for any failure or delay in the performance of our obligations under these Terms arising out of or caused by forces beyond our control, including without limitation, acts of God, war, strikes or labor disputes, embargoes, government orders, or any other force majeure event.
